Confidential Information shall include any information provided by the Mentor concerning the business, technology, and information of the Mentor and any third party with which the mentor deals, including, without limitation, business records and plans, trade secrets, technical data, product ideas, contracts, financial information, pricing structure, discounts, computer programs, listings, copyright, intellectual property, sales leads, strategic, customer and client information, lists, vendors, software, formulas, handouts, assignments, procedures, etc. The nature of the information and the manner of disclosure are such that a reasonable person would understand it to be confidential. A. Confidential Information does not include: a. Matters of public knowledge that results from disclosure by the Mentor. b. Information rightfully received by the Student, Volunteer, Intern, Employee or Contractor from a third party without duty of confidentiality. c. Information independently developed by Student, Volunteer, Intern, Employee or Contractor. d. Information disclosed by operation of law. e. Information disclosed by Student, Volunteer, Intern, Employee or Contractor with the prior written consent of the Mentor f. And any information both parties agree in writing is not confidential. 2. PROTECTION OF CONFIDENTIAL INFORMATION. The Student, Volunteer, Intern, Employee or Contractor understands and acknowledges that the Confidential Information has been developed or obtained by the Mentor by the investment of significant time, effort, expense, and the Confidential Information is a valuable, special and unique asset of the Mentor which provides the Mentor with significant competitive advantage and needs to be protected from improper disclosure. In consideration, the receipt by the Student, Volunteer, Intern, Employee or Contractor, Volunteer, Intern, Employee or Contractor of Confidential Information , the Student, Volunteer, Intern, Employee or Contractor, Volunteer, Intern, Employee or Contractor agrees to the following: A. No Disclosure. The Student, Volunteer, Intern, Employee or Contractor will hold the Confidential Information in confidence . 3. Non-Competition. The Student, Volunteer, Intern, Employee or Contractor agrees that, during the term of during the Mentorship and for twelve {12) months after the termination thereof, regardless of the reason for the termination, Student, Volunteer, Intern, Employee or Contractor will not, directly or indirectly, anywhere in GA, commence or help or work for another competing business in the GA tax lien industry which teaches tax lien investing. 4. Non-Solicitation of Customers, Customer Prospects, and Vendors. The Student, Volunteer, Intern, Employee or Contractor agrees that, during the term of during the Mentorship and for twelve (12) months after the termination thereof, regardless of the reason for the termination, you will not, directly or indirectly, solicit or attempt to solicit any business from any of the Mentor's Customers or Customer Prospects for Proxy Bidding, Tax Lien Student, Volunteer, Intern, Employee or Contractors, CE Courses. I acknowledge receipt and understanding of the above non-disclosure requirements and agree to such. Participation, Waiver, & Release Of Liability Form Acknowledgement and Assumption of Risk I, participant, in the 4 Day GA Tax Lien Bootcamp, understand that this activity involves certain risks for physical injury. I also understand that vehicles and/or equipment, if any, which may be provided for my protection may be inadequate to prevent serious injury. I also understand that there are potential risks of which I may not presently be aware. Nevertheless, I voluntarily elect to participate in this activity/class with knowledge of the danger involved, and I hereby agree to accept and assume any and all risks of property damage, personal injury, or death. I hereby assume any and all risk of loss, liability, damage or costs, including bodily injury or property damage that I may incur arising out of or in connection with my acts and/or omissions. GA Tax Lien Bootcamp LLC, its agencies, officers, or employees, herein now referred to as "Host", do not insure participants in the above-described activity and participants who want to be covered must obtain their own insurance. We assert lack of responsibility or liability for injury resulting from this activity. I hereby unconditionally release, waive and discharge my right, whether by contract or under operation of law to file cause of action(s) or claim(s) which I may have against GA Tax Lien Bootcamp LLC, it's officers, directors, assigns and/or employees, now or in the future. I fully understand the terms set forth in this form, and I hereby waive my rights freely and voluntarily without any inducement, assurance, or guarantee being made to me to the fullest extent allowed by law. GA Tax Lien Bootcamp LLC, its agencies, officers, or employees are not lawyers. Nor accountants. We can not and do not offer legal or financial advice. Neither an attorneys nor accountant-client relationship is not presumed or intended by either party partaking in this mentorship. This release, indemnification, and waiver shall be construed broadly to provide a release, indemnification, and waiver to the maximum extent permissible under applicable law. The World Health Organization (“WHO”) has declared the novel coronavirus, COVID-19, a
worldwide pandemic. GA Tax Lien Bootcamp LLC is committed to the health and well- being of all
of our participants and staff and has implement a collection of best practices, including but not
limited to those established by the Center for Disease Controls (“CDC”) as well as state and local
guidelines to combat the spread of the COVID-19 virus.
COVID-19 is reported to be extremely contagious. The exact methods of spread and contraction
are unknown, and there is no known treatment, cure, or vaccine for COVID-19. COVID-19 is
believed to spread from person-to-person contact, by contact with contaminated surfaces and
objects and/or through in the air. A person experiencing no symptoms of the virus can still be
infected and therefore spread the virus. Evidence has shown that COVID-19 can cause serious
and potentially life threatening illness and even death.
GA Tax Lien Bootcamp LLC cannot prevent you or those entering the boot camp premises
and/or participating in GA Tax Lien Bootcamp LLC programing, (hereinafter collectively
referred to as “Participant(s)”) from becoming exposed to, contracting, or spreading
COVID-19 while participating in GA Tax Lien Bootcamp LLC’s services or programs. If you
choose to utilize GA Tax Lien Bootcamp LLC’s services, attend a GA Tax Lien Bootcamp
LLC’s services program and/or enter onto the boot camp premises you may be exposing
yourself to and/or increasing your risk of contracting or spreading COVID-19 as it is not
currently possible to prevent against the presence of the virus.
ASSUMPTION OF RISK: I, the undersigned, self Participant, have read and understood
the above warning concerning COVID-19. WITH FULL ACCEPTANCE AND
UNDERSTANDING OF THE FOREGOING RISKS I hereby choose to accept the risk of exposure,
contracting and/or spreading COVID-19 in order to utilize GA Tax Lien Bootcamp LLC’s services,
participate in GA Tax Lien Bootcamp LLC’s programing and/or enter the boot camp premises. I
acknowledge that participation in this program is entirely voluntary and that participation is joined
with full knowledge of the risks inherent to COVID-19. I FULLY ACCEPT AND ASSUME ALL
SUCH RISKS AND ALL RESPONSIBILITY FOR LOSSES, COSTS, AND DAMAGES THAT
MAY INCUR ARISING FROM AND/OR RELATED TO COVID-19 AND AS A RESULT OF
ENTERING IN THE BOOT CAMP PREMISES AND/OR PARTICIPATION IN ANY AND ALL
OF THE PROGRAMS AND ACTIVITIES OFFERED THROUGH GA TAX LIEN BOOTCAMP.
WAIVER OF LAWSUIT/LIABILITY: I hereby forever release and waive my right to bring suit
against GA Tax Lien Bootcamp LLC/boot camp premises and its owners, officers, directors,
managers, officials, trustees, agents, employees, or other representatives in connection with
exposure, infection, and/or spread of COVID-19 related to utilizing GA Tax Lien Bootcamp
LLC’s services and defined premises. I understand that this waiver means I give up my right to
bring any claims including for personal injuries, death, disease or property losses, or any other loss,
including but not limited to claims of negligence and give up any claim I may have to seek damages,
whether known or unknown, foreseen or unforeseen.
SEVERABILITY: Should any provision of this Agreement be declared or determined by any court
of competent jurisdiction to be illegal or invalid, the validity of the remaining parts, terms or provisions
shall not be affected thereby and said illegal or invalid part, term or provision shall be deemed not to
be a part of the Agreement and all other valid provisions shall survive and continue to bind the parties.
CHOICE OF LAW/VENUE/ATTORNEY FEES: I understand and agree that the law governing
this Agreement shall be that of the United States and the State of Georgia with venue being proper
only in DeKalb County, Georgia. In the event of a dispute, arising from or related to, this
Agreement, the prevailing party shall be entitled to recover, as part of any award for damages, all fees
and costs associated with the defense of the dispute, including reasonable attorneys’ fees.
I HAVE CAREFULLY READ AND FULLY UNDERSTAND AND FREELY AND
KNOWINGLY ACCEPT ALL OF THE TERMS AND CONDITIONS STATED HEREIN
AND ACKNOWLEDGE THE TERMS OF THIS AGREEMENT ARE REASONABLE AND
SHALL BE EFFECTIVE AND I ASSUME THE RISK AND WAIVE MY RIGHTS
